Unlimited Knowledge Ltd, established and registered in accordance with the legislation of the United Kingdom under company number 08722171, hereinafter referred to as "Unlimited Knowledge", on the one hand, and __________________________________________________________, represented by _______________________, hereinafter referred to as the "Client", on the other hand, hereinafter collectively referred to as the "Parties" and individually as a "Party", have entered into the present contract (hereinafter – "Contract") on the following:

 

1. Subject of the Contract 

 

1.1. Unlimited Knowledge shall provide distance educational services for English language learning, and the Client shall accept and pay for such services in accordance with and under the terms hereof. 

1.2. The following terms are used in this Contract: 

1.2.1. The "Student" - the individual(s) receiving educational services under this Contract. 

1.2.2. The "Client" - the individual ordering services under this Contract. "Student" and "Client" may be the same person. 

1.2.3. The "Lesson" means providing the service of distance English language training via Skype or Zoom, limited by the duration according to the package of Lessons purchased by the Client. In this regard:

• The packages determine the category and number of Lessons, the duration of each Lesson, the term within which such a package of Lessons should be used by the Client, and the price.

• The Lesson packages are listed on the Website.

• The purchased Lesson packages are reflected in the Client's Personal Account.

• The Lessons are conducted according to London time from 7:00 to 24:00. 

1.2.4. The "Teacher" means an individual representing Unlimited Knowledge, who conducts the Lesson. The Teacher is a native English speaker. 

1.2.5. The "Website" - the Unlimited Knowledge website on the Internet at www.ukskype.com

1.2.6. The "My Account" - the Client's personal section on the Website, access to which is provided by login and password supplied by Unlimited Knowledge to the Client. 

1.2.7. The "Request" - request for services received by Unlimited Knowledge from a potential Client in any way: through social network (Facebook, Instagram), Website, email, phone, etc.

 

1.3. Procedure for arranging the provision of services: 

1.3.1. The Client sends the Request to Unlimited Knowledge. 

1.3.2. Unlimited Knowledge shall:

• review the received Request,

• contact the Client,

• agree on the time for a trial Lesson,

• agree on the Lesson package, convenient time schedule for conducting such Lessons, category of Lessons (individual/group), as well as the Skype/Zoom number through which the Lesson will be conducted. 

1.4. Procedure for Lessons provision: 

1.4.1. The Lessons shall be conducted provided that the Student has passed a test posted on the Website. 

1.4.2. The Lessons shall be conducted only after the Client has made a 100% prepayment. Payment shall be made for a minimum of 4 Lessons.

1.4.3. The payment shall be made by the Client based on an invoice/letter with payment information for services sent to the Client by email, or on the Website. 

1.4.4. According to the schedule agreed upon by the Parties, the Teacher contacts the Client (Student) at the Skype or Zoom number provided by the Client and conducts the Lesson.

 

2. Rights and Obligations of the Parties 

2.1. OBLIGATIONS OF BOTH PARTIES: 

2.1.1. The Parties undertake to perform the obligations provided by this Contract in duly and properly manner. 

2.1.2. The Parties have agreed that, unless otherwise directly stated in this Contract, requests, notices, letters, confirmations, and messages sent and received via WhatsApp and email using the following numbers and email addresses shall be considered valid, proper, and equivalent to written form:

From the Client – the phone number and email address provided when sending and agreeing on the Request with Unlimited Knowledge, or another specified by the Client.

2.1.3. The Parties are not entitled to transfer their rights and obligations under this Contract in full or in part to third parties, unless expressly provided for by this Contract. 

2.1.4. The Client shall have the right to assign (transfer) the right to attend prepaid Lessons to a third party provided that the following conditions are complied with:

• prior written consent obtained from Unlimited Knowledge;

• the schedule of Lessons (in terms of frequency) remains unchanged.

 

2.2. UNLIMITED KNOWLEDGE AGREES TO: 

2.2.1. provide services to the Client properly, in accordance with the terms of this Contract;

2.2.2. provide the Client with reliable information about the training and qualifications of Teachers; 

2.2.3. provide a test to determine the Student's level of preparation (if necessary), and inform the Client on the results of the test; 

2.2.4. change the terms and conditions of service provision only upon the written consent of the Client, except for price changes; 

2.2.5. notify the Client, including through the My Account or by posting information on the Website, of price changes no later than 30 (thirty) calendar days before the new Price List comes into effect. In this case, the prices for already placed Requests do not change; 

2.2.6. not disclose confidential information and data provided by the Client in connection with the execution hereunder;

2.2.7. fulfill other obligations provided by this Contract.

 

2.3. THE CLIENT AGREES TO: 

2.3.1. pay for the services of Unlimited Knowledge in accordance with the provisions of section 3 of this Contract; 

2.3.2. provide Unlimited Knowledge with all the information and data necessary to fulfill its obligations under this Contract; 

2.3.3. independently arrange and pay for Internet access, ensure the necessary software for Skype or Zoom, and valid accounts in such applications; 

2.3.4. comply with the procedure provided by the provisions of section 2.4 of this Contract; 

2.3.5. not disclose confidential information and data provided by Unlimited Knowledge in connection with the execution of this Contract; 

2.3.6. attend the distance Lessons; 

2.3.7. fulfill other obligations provided by this Contract.

 

2.4. PROCEDURE FOR RESCHEDULING OR CANCELLATION OF LESSONS: 

2.4.1. The Client has the right to reschedule or cancel a Lesson for another time by agreement with Unlimited Knowledge. In this case, the Client must notify Unlimited Knowledge no less than forty-eight (48) hours before the scheduled start of the Lesson, by email, WhatsApp or another method agreed upon by the Parties. If this condition is complied with, the Lesson is considered rescheduled and will be conducted at another time agreed upon by the Parties. Failure to meet this deadline by the Client shall mean that the Client agrees to the proposed Lesson time, and if the Lesson is missed, payment for the Lesson is not refunded due to the Client's absence. The number of possible reschedules or cancellations of Lessons depends on the intensity of the Client's Lesson schedule. The Client has the right to cancel or reschedule Lessons: 

2.4.1.1. reschedule or cancel 1 (one) Lesson per month with a schedule of 1 (one) Lesson per week; 

2.4.1.2. reschedule or cancel 4 (four) Lessons per month with a schedule of 2 (two) or 3 (three) Lessons per week; 

2.4.1.3. reschedule or cancel 5 (five) Lessons per month with a schedule of 4 (four) or more Lessons per week.

2.4.2. Unlimited Knowledge has the right to reschedule Lessons (in the event of the Teacher's illness or other valid reasons), notifying the Client no less than forty-eight (48) hours in advance. Unlimited Knowledge has the right to unilaterally replace the Teacher (in the case of the Teacher's illness, vacation, or other valid reasons), notifying the Client before the respective Lesson. Unlimited Knowledge has the right to consider the Client's request to change the Teacher if, in the Client's opinion, the Teacher too frequently reschedules Lessons.

2.4.3. If the Client is not available for a call via Skype or Zoom at the time scheduled, the Teacher will keep on contacting the Client (Student) for fifteen (15) minutes. If contact is not made, the Lesson shall be considered missed due to the Client's fault, not rescheduled for another time, and paid for by the Client at 100%.

2.4.4. If within five (5) minutes from the start of the Lesson according to the schedule, the Client (Student) does not receive a call from the Teacher, The Client must immediately contact Unlimited Knowledge via WhatsApp or another method agreed upon by the Parties. Unlimited Knowledge will assess the situation and offer the Client options for resolution: 

2.4.4.1. The Lesson will take place according to the Lesson schedule the next time (in this case it is considered missed due to the fault of Unlimited Knowledge and is rescheduled without loss);

2.4.4.2. The Lesson will be rescheduled to another time available to both the Student and Unlimited Knowledge without any loss due to Unlimited Knowledge's fault. 

2.4.4.3.  The Lessons not held due to Unlimited Knowledge's fault will be rescheduled without loss, and their price will not change.

 

2.5. SUSPENSION OF LESSONS. CANCELLATION: 

2.5.1. The Client may suspend Lessons under the following conditions: 

2.5.2. The suspension period must not exceed thirty-one (31) calendar days; 

2.5.3. At least ninety (90) calendar days have passed since the date of the previous suspension. 

2.5.4. The Client must inform Unlimited Knowledge of the exact date and time of the last Lesson before the suspension and the first Lesson after the suspension. 

2.5.5. The Client has the right to withdraw a confirmed Request by Unlimited Knowledge and cancel this Contract (unilaterally terminate part of the Request) within sixty (60) days from the payment date. In this case, Unlimited Knowledge will refund the prepaid but unused amount, less Unlimited Knowledge's banking expenses, within fourteen (14) calendar days from the date of the Client's cancellation. Cancellation of the Request must be made by the Client in writing using the form provided on the Website. 

2.5.6. If the Client does not use the previously paid Lessons within six (6) months from the date of the last conducted Lesson, the services for conducting such paid Lessons shall be considered properly provided, and the paid price are non-refundable.

 

3. PAYMENT AND SETTLEMENT PROCEDURE 

3.1. All calculations shall be made in British pounds sterling. The cost of services is listed on the Website. 

3.2. The cost of services and payments established by this Contract include all taxes applicable in the UK. However, they do not include any taxes, duties, customs and import fees, and other fees, including banking fees and commissions, applicable both in the country where the Client resides or has citizenship, and in the country where the Client is recognized as a tax resident. 

3.3. The Parties hereby establish the following order of settlements and payments: 

3.3.1. The Client shall pay for the price of the Lesson(s) in advance within the period specified by Unlimited Knowledge depending on the date of the first scheduled Lesson. 

3.3.2. The Client shall make payments to Unlimited Knowledge by cashless means through the Website, bank transfer (payment), PayPal system, Visa/Master Card, Apple Pay. 

3.4. The day when the funds are credited to Unlimited Knowledge's account shall be considered the day of payment for services. 

3.5. If the funds are not fully or partially received in Unlimited Knowledge's account within the set deadlines, Unlimited Knowledge reserves the right to unilaterally cancel the corresponding service Request.

 

4. CONFIDENTIAL INFORMATION 

4.1. Financial, commercial and other information related to the subject of this Contract provided by the Parties to each other shall beconsidered a commercial secret. 

4.2. The Parties will take all necessary and sufficient measures to prevent the disclosure of information received in connection with this Contract to third parties. 

4.3. The Students, the Client and any third party on the side of the Client are prohibited from audio and video recording of the Lesson unless it is provided for in the Teacher's lesson plan.

4.4. The Students, the Client and any third party on the side of the Client are prohibited from exchanging contact information with the Teacher.

 

5. LIABILITY OF THE PARTIES 

5.1. A Party that has failed to perform or has unduly performed its obligations under this Contract is obliged to compensate the other Party for the actual damage. 

5.2. The recovery of actual damages and penalties shall not release the Parties from the specific performance of the obligations hereunder. 

5.3. The Client shall be responsible for the accuracy and reliability of the information provided in the Request.

 5.4. The liability limit of Unlimited Knowledge to the Client shall be limited to the cost of services provided in the respective Lesson package order. 

5.5. Unlimited Knowledge shall be not liable if claims about the quality of services correspond to the information provided by Unlimited Knowledge to the Client when concluding the Contract, but do not meet the Client's (Student's) unreasonable expectations and/or their subjective assessment. 

5.6. Complaints regarding the quality of services and other issues in accordance with consumer protection legislation should be sent to the following email address: admin@ukskype.com, stating "Complaint" in the subject line and including contact details.

 

6. Force Majeure Circumstances

6.1. The Parties shall be exempt from liability for partial or full non-fulfillment of obligations if such non-fulfillment results from force majeure circumstances arising after the conclusion of the Contract, unforeseeable and unavoidable by the Parties, such as acts of God, fire, flood, earthquake, strikes, military actions, blockades, acts of government, epidemics, terrorist acts or threats, etc. 

6.2. The Party unable to fulfill obligations must inform the other within three (3) banking days from the occurrence. 

6.3. The Party claiming force majeure circumstances must notify the other in writing of the start and estimated end date with confirmation from competent authorities provided within thirty (30) calendar days.

6.4. Failure to timely notify or provide confirmation documents shall deprive the Party of the right to invoke these circumstances and does not release from contractual liability. 

6.5. Unforeseen force majeure circumstances shall extend the fulfillment period in proportion accordingly.

 

7. Contract Termination

7.1. The Contract may be terminated by:

7.1.1. Mutual agreement of the Parties.

7.1.2. As provided by applicable law.

 

8. Dispute Resolution 

8.1. The Contract shall be governed by UK law. 

8.2. All disputes and disagreements arising out of or in connection with this Contract, when applicable, shall be resolved through negotiations between the Parties. Response time to the received claim shall not exceed fifteen (15) working days. 

8.3. Failing to reach the agreement, the dispute shall be referred to the appropriate London court.

 

9. Final Provisions 

9.1. All prior agreements shall be deemed null and void upon this Contract's effective date. 

9.2. The Contract shall be valid from the first Lesson's payment date until December 31 of the current year, with automatic annual renewals unless the respective notice is given 20 days before the expiration. The prolongations hereof shall be not limited. Herewith, Unlimited Knowledge shall have the right to change Price List unilaterally.

9.3. The Contract does not create any partnership, joint venture, agency or employment relations as well as does not empower the Parties to do any offers or sign any obligations on behalf of the other Party. 

9.4. The present Contract may be changed upon the mutual agreement of the Parties. Any amendments hereof or additional agreements hereto must be in writing and signed by authorized representatives of the Parties.

9.5. Electronic documents made hereunder, including inter alia payment documents, shall have legal force. 

9.6. The payment hereunder shall confirm:

• the Client's awareness hereof;

• price policy of Unlimited Knowledge;

• the Client's consent with all terms hereof;

• the Client's consent with request cancellation and termination hereof;

• that Unlimited Knowledge have provided all necessary possibility to review service provision and consumer rights laws by means of www.legislation.gov.uk , including The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. 

9.7. Parties shall inform each other of contact and banking detail changes within five (5) banking days as of the date of respective changes. 

9.8. The Contract consists of 4 pages.
